本稿では、企業成長論の理論化にはいかなる事実認識が必要か、中小企業の成長および所有構造の実態を明らかにしようとしている。特に、店頭登録企業の実態を統計資料によって吟味し、企業成長論の体系化に必要な論点と資料を提供しようとしている。

わが国の店頭市場は、1963年に創設され、その年に129社が登録している。登録企業数の増加が顕著になるのは、平成に入ってからである。1998年末には856社に達している。店頭企業では、規模が比較的大きくなってきても、所有と経営の分離は一般的な現象ではない。むしろ、所有と経営は一致して経営者が相対的に強い経営権を保持している。

また、設立のデータから、中小企業は継続的に生まれ成長している。子会社を除いて、店頭企業の設立年は、1970年代に23.3%、1980年代に11.2%あり、新しく設立された企業が一定割合で存在している。新規企業は、1970年代も1980年代も生まれており成長してきたことは明白な事実である。

This article examines the growth of SMEs and its ownership structure so that we can obtain necessary data and facts for the development of growth theory of the firms.

JASDAQ which started in 1963 sees the rapid increase of number of firms registered since 1990. The separation between ownership and control was not clear in the firms. We rather recognize that an individual or family holds a substantial portion of the share. There is strong relationship between ownership and control.
